Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Sukai website, mobile application, and related services (collectively, the “Platform”). The Platform is operated by Sukai, a Nevada corporation (“Sukai,” “we,” “us,” or “our”).
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Platform-Only Role of Sukai
Sukai is solely a technology platform that facilitates connections between neighbors who request small, everyday help (“Needers”) and neighbors who voluntarily provide that help (“Deeders”).
Sukai:
- Does not provide labor, services, or assistance of any kind
- Does not supervise, manage, or control users or interactions
- Does not verify identities, qualifications, or suitability of users
- Does not guarantee task completion, quality, safety, or outcomes
All interactions, agreements, and activities occur directly between users, and users participate at their own risk.
2. User Responsibility & Due Diligence
You acknowledge and agree that all due diligence is your responsibility.
Needers and Deeders are solely responsible for:
- Evaluating each other
- Assessing safety and suitability
- Setting boundaries
- Determining whether to proceed with any interaction
- Complying with all applicable laws
Sukai makes no representations or warranties regarding any user and expressly disclaims responsibility for user conduct.
3. Eligibility
You must be at least 18 years old to use the Platform.
By using Sukai, you represent that:
- You can legally enter into these Terms
- You will provide accurate information
- You will comply with all applicable laws and regulations
4. Accounts
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity conducted through your account
Sukai may suspend or terminate accounts at any time, with or without notice, for any reason.
5. User Roles
5.1 Needers
Needers may post requests for assistance, including task descriptions, approximate locations, and a suggested donation amount to a nonprofit organization.
5.2 Deeders
Deeders voluntarily accept tasks. Deeders are not employees, contractors, agents, or representatives of Sukai.
6. No Employment, Agency, or Partnership
Nothing in these Terms creates an employment, contractor, agency, partnership, or joint venture relationship.
Deeders:
- Are independent individuals
- Are not paid wages
- Are not entitled to employee benefits
7. Donations, Payments & Fees
7.1 General
The Platform may facilitate monetary transactions related to tasks, including donations to nonprofit organizations selected by Needers.
All amounts are donations, not compensation, wages, or payment for services.
7.2 Payment Processing
Sukai may use third-party payment processors. By using the Platform, you agree to their terms.
Funds may be:
- Collected before or after task completion
- Temporarily held, delayed, or released
- Subject to verification, dispute resolution, or compliance reviews
Sukai does not guarantee timing, availability, or completion of any transaction.
7.3 Fees
Sukai may retain a disclosed platform or processing fee.
7.4 Refunds
Refunds, if any, are governed by Sukai policies and third-party processor rules. Sukai is not responsible for user disputes.
8. Background Checks
8.1 Account Creation and Browsing
Users may create an account and browse the Platform without completing a background check.
8.2 Requirement to Participate in Tasks
Prior to posting a task as a Needer or accepting or performing a task as a Deeder, a user may be required to complete a background check through a third-party provider designated or approved by Sukai.
8.3 Cost Responsibility
Any required background check is obtained at the user’s sole expense. Sukai does not pay for, reimburse, or subsidize the cost of background checks.
8.4 Third-Party Providers
Background checks are conducted by independent third-party providers. Sukai does not conduct background checks itself and does not control the scope, content, or methodology of any background check.
8.5 Limited Review and Eligibility Determinations
Sukai does not routinely review, verify, or evaluate background check results. In certain circumstances, Sukai may review information provided by a background check provider for the limited purpose of determining a user’s eligibility to post or participate in tasks. Sukai is not obligated to perform such reviews and may rely on third-party processes, indicators, or flags.
8.6 No Certification or Endorsement
Completion of a background check does not constitute certification, endorsement, or approval of any user by Sukai. Sukai makes no representations or warranties regarding the accuracy, completeness, or implications of any background check.
8.7 No Guarantee of Safety
Users acknowledge that background checks do not eliminate risk. Sukai does not guarantee the conduct, safety, suitability, or reliability of any user and does not supervise, manage, or control interactions between users.
8.8 Right to Restrict Access
Sukai reserves the right, in its sole discretion, to restrict, suspend, or terminate a user’s ability to post or engage in tasks based on background check requirements, eligibility determinations, or other trust and safety considerations.
9. Assumption of Risk
You acknowledge that:
- Tasks may involve physical activity or in-person interaction
- Risks include injury, property damage, theft, or personal harm
You voluntarily assume all risks associated with using the Platform.
10. Prohibited Conduct
Users may not:
- Engage in illegal activity
- Misrepresent themselves or tasks
- Harass, abuse, or endanger others
- Circumvent platform fees or systems
- Post unsafe or deceptive requests
Sukai may remove content or suspend accounts at its discretion.
11. User Content
You retain ownership of content you submit. You grant Sukai a non-exclusive, worldwide, royalty-free license to use such content to operate and promote the Platform.
12. Disclaimers
The Platform is provided “as is” and “as available.”
Sukai disclaims all warranties, including warranties of:
- Safety
- Accuracy
- Reliability
- Fitness for a particular purpose
13. Limitation of Liability
To the maximum extent permitted by law, Sukai is not liable for:
- Personal injury or death
- Property damage
- Lost profits or data
- Emotional distress
- Indirect or consequential damages
Sukai’s total liability shall not exceed the fees paid to Sukai by you in the twelve (12) months preceding the claim, if any.
14. Indemnification
You agree to indemnify and hold harmless Sukai from claims arising from:
- Your use of the Platform
- Your interactions with other users
- Your failure to perform due diligence
- Your violation of these Terms
15. Dispute Resolution & Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles.
All disputes shall be resolved through binding individual arbitration under the Federal Arbitration Act.
- No class actions permitted
- Small claims court claims are allowed where applicable
- Any permitted court proceedings shall take place in Clark County, Nevada
16. Privacy
SMS Terms & Conditions
By creating an account and providing your mobile number, you agree to receive transactional SMS messages (such as one-time passcodes and security alerts) from Sukai Inc.
- Message Frequency: Message frequency varies based on your account activity.
- Cost: Message and data rates may apply depending on your mobile carrier plan.
- Support: For help, you may contact us at IT@sukai.com or text “HELP” in response to any message we send.
- Opt-out: You may opt out of receiving SMS messages at any time by texting “STOP” to our number. After texting “STOP,” you will receive one final confirmation message.
- Carriers: Carriers are not liable for delayed or undelivered messages.
Use of the Platform is subject to Sukai’s Privacy Policy.
17. Changes to the Terms
Sukai may update these Terms at any time. Continued use constitutes acceptance.
